This Website is owned and operated by United Property Management, Inc. (the "Company," "we," "us" and "our"). Please read these Terms of Use (the "Terms") of this Website and any property websites powered by the Company (the "Site") carefully before using the Site. We prepared these Terms to help explain the terms that apply to your use of the Site. By accessing, browsing and/or using the Site, or the mobile version thereof, you hereby agree to the Terms. If you do not agree to the Terms or our Privacy Policy (as linked below), please refrain from using the Site.

Please return to the Terms and review them from time to time, as they may be amended by the Company at any time and without notice to you. Any changes to the Terms will be effective immediately upon posting and updating the above listed "Effective Date." If the Terms or revisions made thereto are unacceptable to you, you should no longer use the Site.

The Terms do not alter the terms and conditions of any agreement you may have with the Company or its affiliates. Except as expressly set forth otherwise in a signed agreement between you and the Company, these Terms are the entire agreement between you and the Company and supersede all prior or contemporaneous negotiations, discussions or agreements between you and the Company about the Site.


1. Representations Regarding Use of the Site

When you use the Site, you represent that:

  1. the information you submit to the Site is truthful and accurate;
  2. your use of the Site does not violate any applicable law or regulation; and
  3. you are of sufficient legal age or otherwise have legal capacity to legally enter into the Terms.

2. Site Content Is Not an Offer; No Guarantee of Availability

Property listings, floor plans, photographs, pricing, availability, amenities, and similar information on the Site are provided for general informational purposes only and do not constitute an offer to lease or a binding representation regarding any specific unit.

Pricing, availability, fees, and promotions are subject to change without notice and should be confirmed directly with our on-site leasing team before you make any decisions based on them.

Photographs and floor plans may depict model units, renderings, or units other than the specific unit you are considering, and finishes, square footage, and layout may vary by unit.


3. Prohibited Uses

You agree that, in connection with your use of the Site, you will not:

  1. use the Site for any unauthorized purpose, including collecting email addresses or contact information of other users by electronic or other means for the purpose of sending unsolicited email or other electronic communications, or engaging in unauthorized framing of, or linking to, the Site without our express written consent;
  2. impersonate any other person or entity, or invade the privacy, or violate the personal or proprietary rights, of any person or entity;
  3. decompile, disassemble, modify, translate, adapt, reverse engineer, create derivative works from or sublicense the Site, or any portion thereof;
  4. intentionally or unintentionally performing or promoting any activity that would violate any applicable local, provincial/state, national or international law, including but not limited to any regulations having the force of law while using or accessing the Site;
  5. use any robot, spider or other automatic program or device, or manual process to monitor, copy, summarize, or otherwise extract information from the Site or the Content (as defined in the following Section) on the Site in whole or in part, including, without limitation, creating any frames at any other Site pertaining to any portions of the Site;
  6. circumvent, disable or otherwise interfere with security related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content on the Site; and
  7. introduce any virus, malware, or other harmful code, or attempt to gain unauthorized access to any account, server, or database connected to the Site.

4. Use of Copyrighted Materials/Trademarks

4.1 Content.

Any materials on the Site, including without limitation, any documentation, content, text, data, graphics, images, video and audio clips, interfaces or other materials, information or works of authorship are copyrighted materials (a) owned by the Company (collectively, "Content") or (b) provided by third-party licensors and suppliers to the Company (collectively, the "Third-Party Content").

The Content contains trademarks, service marks and trade names which are owned by the Company and its affiliates. All rights not expressly granted in and to the Site, the Content, and the Third-Party Content are reserved to their respective owners, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions.

You agree to abide by all copyright notices and trademark, information and other restrictions in connection with the Site, including without limitation any Content and Third-Party Content therein.


4.2 Limited Access to Content.

Except as otherwise noted in the Site, you are hereby authorized to view, download, cache, copy and print the Content solely for your personal, non-commercial use and not for resale or further distribution, retransmission, subject to the following conditions:

  1. any copy of the Content or portion thereof must include all copyright notices appearing on the original.
  2. the Company reserves the right to revoke such authorization at any time, and any such use by you shall be discontinued immediately upon notice from the Company.

4.2.2

The Third-Party Content may also contain brand and product names which are trademarks, service marks or trade names of third parties which are the property of their respective owners.

Unless you have permission from the owner of the Third-Party Content, you agree only to display the Third-Party Content on your personal computer solely for your personal or internal business use.

You acknowledge and agree that you have no right to download, cache, reproduce, modify, distribute, display (except as set forth in this Section), edit, alter or enhance any of the Third-Party Content in any manner unless you have permission from the owner of the Third-Party Content.

You acknowledge and agree that the Third-Party Content does not reflect the views of the Company and that the Company is not responsible for any views, ideas, positions, materials and the like contained in any Third-Party Content.


4.2.3

Nothing contained in the Site shall be construed as conferring any license or right under any copyright, trade secret, patent, trademark or other intellectual property rights ("IP Rights") of the Company, its affiliates, or any third party, and, except as expressly provided herein, all such IP Rights in the Content and Third-Party Content on the Site are expressly reserved to the Company, its affiliates, and/or any third party, as applicable.

You may only use the Content for NON-COMMERCIAL PURPOSES ONLY and only to the extent such use does not violate the Terms including, without limitation, the prohibitions listed in the "Prohibited Uses" section above.


5. Hyperlinks to the Site

You are granted a limited, nonexclusive right to create a "hypertext" link to the Site, provided that such link directs the user straight to the home page of this Site and does not portray the Company or any of its products or services in a false, misleading, derogatory, or otherwise defamatory manner.

This limited right may be revoked by the Company at any time for any reason whatsoever.

You may not use, frame, or utilize framing techniques to enclose any Company trademark, logo or trade name or other proprietary information, including the Content found at or on the Site, the content of any text or the layout/design of any page of the Site or any form contained on a page of the Site WITHOUT THE EXPRESS PRIOR WRITTEN CONSENT OF THE COMPANY IN EACH INSTANCE.

In addition, you may not use any meta-tags or any other "hidden text" utilizing a Company or Company affiliate name, trademark, or product name WITHOUT THE EXPRESS PRIOR WRITTEN CONSENT OF THE COMPANY IN EACH INSTANCE.


6. Third-Party Sites

The Site may contain links to websites operated by third parties ("Third-Party Sites"); however, we do not own or operate the Third-Party Sites, and we have not reviewed, and cannot review, all of the material, including products or services, made available through Third-Party Sites.

The availability of these links on the Site does not represent, warrant or imply that we endorse any Third-Party Sites or any materials, opinions, products or services available on them.

Materials accessed through or used by means of the Third-Party Sites may also be protected by copyright and other intellectual property laws.

THESE TERMS DO NOT APPLY TO THIRD-PARTY SITES. BEFORE VISITING A THIRD-PARTY SITE THROUGH LINKS OR OTHER MEANS PROVIDED ON OR THROUGH THE SERVICE, YOU SHOULD REVIEW THE THIRD-PARTY SITE'S TERMS AND CONDITIONS AND PRIVACY POLICY, AND INFORM YOURSELF OF THE REGULATIONS, POLICIES AND PRACTICES OF THESE THIRD-PARTY SITES.

Content generated or enhanced by AI Tools may be incomplete, inaccurate, or contain errors. While we make reasonable efforts to review content, we do not guarantee the accuracy, completeness, or reliability of any AI-generated or AI-assisted content.

AI-assisted content is provided for general informational purposes only and does not constitute legal, financial, or real estate advice. Any reliance you place on such content is at your own risk.

We may also utilize chat or virtual leasing assistant features on the Site. Again, AI Tools are not a substitute for review of your actual lease, ledger, or account records, and chatbots do not bind the Company to any representation that conflicts with your signed lease or with information confirmed directly by Company team member.


9. Warranty Disclaimer

Except as may be expressly set forth otherwise in a written agreement between you and the Company or a Company affiliate, the Company has no special relationship with or fiduciary duty to you.

ALL USE OF THE SITE, INCLUDING, WITHOUT LIMITATION, ANY CONTENT AND THIRD-PARTY CONTENT, SHALL BE AT YOUR OWN RISK. THE SITE AND ALL CONTENT AND THIRD-PARTY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

THE COMPANY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

  1. errors, mistakes, or inaccuracies of Content and/or Third-Party Content,
  2. personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Site,
  3. any unauthorized access to or use of the Company's secure servers,
  4. any interruption or cessation of transmission to or use of the Site,
  5. any bugs, viruses, Trojan horses, or the like which may be transmitted to or through our Site by any third party, and/or
  6. any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available via the Site.

SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


10. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY CLAIMING THROUGH YOU FOR ANY DAMAGES IN CONNECTION WITH OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE; ANY CONTENT APPEARING ON THE SITE, INCLUDING PROPERTY LISTINGS OR AI-GENERATED CONTENT; OR ANY RELIANCE ON INFORMATION PROVIDED THROUGH THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED TEN U.S. DOLLARS (U.S. $10.00).

IF A COURT OF COMPETENT JURISDICTION DETERMINES THAT THE ABOVE LIMITATION OF LIABILITY IS UNENFORCEABLE, THEN THE COMPANY'S TOTAL LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify and hold harmless the Company and its affiliates, officers, directors, owners, operators, employees, licensors and agents, from and against any and all claims, actions, demands, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from, related to or in connection with:

  1. your use of and access to the Site, including without limitation any Content contained herein;
  2. your violation of any of the Terms; and/or
  3. your violation of any third-party right, including without limitation any Third-Party Content or any other third party copyright, property, or privacy right in connection with your use of or access to the Site.

12. Dispute Resolution

To the fullest extent permitted by applicable law, you and the Company agree that any dispute arising out of or relating to these Terms or your use of the Site will first be submitted to good-faith informal negotiation before either party initiates a lawsuit.

Nothing in this section limits either party's right to seek relief in small claims court or other courts to pursue claims related to your tenancy under the terms of your separate lease agreement.


13. Privacy Policy

In connection with your use of the Site, please review our Privacy Policy, available at Privacy Policy.

This includes how we use information we collect from you when you access, visit or use the Site.

The Privacy Policy is part of and is governed by these Terms and by agreeing to these Terms, you agree to be bound by the terms of the Privacy Policy and agree that we may use information collected from you in accordance with the Privacy Policy.


14. General Provisions

Enforcement of the Terms will be governed by the laws of Miami Dade County, Florida, excluding its conflict and choice of law principles.

The exclusive jurisdiction and venue for any claims arising out of or related to the Terms or your use of the Site will lie in the state or federal courts located in Miami Dade County, Florida and you irrevocably agree to submit to the jurisdiction of such courts.

The failure of the Company to enforce any right or provision in the Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by the Company in writing.

In the event that a court of competent jurisdiction finds any provision of these Terms to be illegal, invalid or unenforceable, the remaining portions will remain in full force and effect.
